Creative Consulting, Artist Management & Photography Services

Effective Date: January 19, 2026

1. Nature of Services and Artist Management Relationships

North American South (“North American South,” “we,” “us,” or “our”) provides creative consulting, artist development services, educational programs, collaborative opportunities, and photography services.

In certain circumstances, North American South may also act as an artist manager. Artist management services are provided only when governed by a separate written management agreement signed by both North American South and the artist.

Unless such a written agreement is in place:

• North American South is not acting as an artist manager, agent, attorney, or fiduciary
   
• No exclusive or non-exclusive representation is created
   
• No authority is granted to negotiate contracts or bind you to agreements
   
• No commission or revenue share is owed beyond agreed-upon service fees
   

Participation in consulting, programs, events, or educational offerings does not imply management or representation.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement.

3. Use of the Services

You agree to use the Services lawfully and not to:

• Misrepresent your identity or creative work
   
• Infringe on the rights of others
   
• Record, reproduce, or redistribute paid content without permission
   
• Interfere with or disrupt Services or events
   

We reserve the right to restrict or terminate access for violations of these Terms.

4. Consulting and Educational Disclaimer

All consulting, coaching, feedback, and educational materials are provided for informational and creative development purposes only.

You acknowledge that:

• Creative and artistic careers involve inherent risk
   
• Decisions and outcomes are your sole responsibility
   
• North American South does not guarantee results, income, placements, or opportunities
   

We encourage artists to seek independent legal, financial, or professional advice when appropriate.

5. Payments, Refunds, and Cancellations

Fees for Services are disclosed at the time of purchase or in a separate written agreement.

• Payments are due in advance unless otherwise agreed in writing
   
• Missed sessions without prior notice may be forfeited
   
• Refunds are not guaranteed and are evaluated on a case-by-case basis
   

Compensation, commissions, or revenue sharing related to artist management are governed solely by the applicable management agreement.

6. Intellectual Property

Our Content

All materials provided by North American South—including text, graphics, frameworks, videos, templates, branding, and educational content—remain our intellectual property and may not be copied, sold, or redistributed without written permission.

Artist Content

Artists retain full ownership of their original creative works. By submitting content through the Services, artists grant North American South a non-exclusive, royalty-free, limited license to reference or showcase such content for promotional or educational purposes, unless otherwise restricted in writing.

North American South does not claim ownership of artists’ music, likeness, or creative works.

7. Photography Services (Digital Delivery & Usage Rights)

North American South may offer photography services, including portrait sessions, event photography, promotional imagery, and creative content.

By booking photography services, you acknowledge and agree that:

• Photography is a creative service, and artistic style, editing choices, and final image selection are subjective
   
• Specific poses, lighting, locations, or image outcomes are not guaranteed
   
• Turnaround times are estimates unless otherwise stated in writing
   
• Clients are responsible for securing permission to photograph at private locations or venues, when applicable
   

Digital Delivery & Usage Rights

All photography services are delivered digitally. Upon full payment, clients are granted unlimited, non-exclusive rights to reproduce, print, publish, and share delivered images for personal and promotional use, including websites, social media, marketing materials, and press, without additional licensing fees.

Clients may not sell, sublicense, or license images to third parties unless otherwise agreed in writing.

Copyright

North American South retains the copyright to all photographic works unless otherwise agreed in writing. Nothing in this section transfers ownership of copyright to the client.

Portfolio & Promotion

North American South may display selected images for portfolio, promotional, or educational purposes unless otherwise requested in writing.

Refunds & Reshoots

Unless otherwise stated in writing:

• Photography services are non-refundable once rendered
   
• Reshoots are not guaranteed and are offered at the sole discretion of North American South
   

8. Community Standards

North American South is a collaborative creative space. Harassment, discrimination, exploitation, or abusive behavior will not be tolerated. We reserve the right to remove participants or terminate access without refund for conduct that violates these standards.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. North American South makes no warranties regarding accuracy, availability, or outcomes, including artistic, financial, or professional results.

10. Limitation of Liability

To the fullest extent permitted by law, North American South shall not be liable for indirect, incidental, or consequential damages arising from your use of the Services.

Our total liability shall not exceed the amount paid by you to North American South in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless North American South from any claims, damages, liabilities, or expenses arising from your conduct, content, or violation of these Terms.

12. Termination

We may suspend or terminate access to the Services at any time for violations of these Terms or applicable agreements.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
